I. Obecná ustanovení a definice

  1. Tyto všeobecné obchodní podmínky (dále jen „VOP“) společnosti Trafo Gallery s.r.o., IČO: 05937949, se sídlem Nad Zemankou 894/3, 147 00 Praha 4, zapsané v obchodním rejstříku vedeném Městským soudem v Praze, oddíl C, vložka 273294 (dále jen „Prodávající“), upravují vzájemná práva a povinnosti smluvních stran vzniklé na základě kupní smlouvy (dále jen „Kupní smlouva“) uzavírané mezi Prodávajícím a jinou fyzickou či právnickou osobou (dále jen „Kupující“) prostřednictvím internetového obchodu Prodávajícího. Internetový obchod je provozován na webové adrese www.showroom.trafogallery.cz.
  2. Kupujícím se rozumí Kupující – spotřebitel nebo Kupující – podnikatel.
    • Kupujícím – spotřebitelem je každý člověk, který mimo rámec své podnikatelské činnosti nebo mimo rámec samostatného výkonu svého povolání uzavírá smlouvu s Prodávajícím nebo s ním jinak jedná.
    • Kupujícím – podnikatelem je ten, kdo samostatně vykonává na vlastní účet a odpovědnost výdělečnou činnost živnostenským nebo obdobným způsobem se záměrem činit tak soustavně za účelem dosažení zisku.
  3. Předmětem koupě se rozumí originální umělecká díla, nabízená v e-shopu Prodávajícího.
  4. Ustanovení odchylná od těchto VOP je možné sjednat v Kupní smlouvě. Odchylná ujednání v Kupní smlouvě mají přednost před ustanoveními VOP.
  5. VOP i Kupní smlouva se vyhotovují v českém jazyce.
    II. Uzavření Kupní smlouvy
  6. Veškerá prezentace zboží umístěná v rozhraní e-shopu je informativního charakteru a Prodávající není povinen uzavřít Kupní smlouvu ohledně tohoto zboží.
  7. Kupující provádí objednávku prostřednictvím webového formuláře na adrese www.showroom.trafogallery.cz. Před odesláním objednávky má Kupující možnost zkontrolovat a měnit zadané údaje.
  8. Objednávka odeslaná Kupujícím je považována za návrh Kupní smlouvy. K uzavření Kupní smlouvy dochází okamžikem doručení potvrzení přijetí objednávky ze strany Prodávajícího na e-mailovou adresu Kupujícího zadanou v objednávce.
    III. Ceny, způsob platby a doprava
  9. Ceny zboží jsou uvedeny včetně všech zákonných poplatků a daní.
  10. Možnosti platby:
    • Bezhotovostně platební kartou nebo přes platební bránu.
    • Bezhotovostně bankovním převodem na základě zálohové faktury vystavené Prodávajícím.
  11. Způsob dopravy a předání díla:
    Vzhledem k povaze a hodnotě originálních uměleckých děl je doprava řešena následujícím způsobem:
    • Osobní odběr (ZDARMA): Osobní vyzvednutí je možné po předchozí dohodě v sídle / výstavním prostoru Trafo Gallery na adrese: Hala 14, Holešovická tržnice, Bubenské nábřeží 306/13, 170 00 Praha 7.
    • Doprava po Praze zdarma: U rozměrnějších či hodnotnějších uměleckých děl zajišťuje Prodávající po dohodě bezplatný odvoz na adresu v rámci území hlavního města Prahy.
    • Individuální doprava mimo Prahu: Doručení mimo území Prahy a do zahraničí je řešeno individuálně na základě dohody mezi Prodávajícím a Kupujícím. Cena a způsob přepravy budou sjednány před odesláním či doručením díla.
  12. Při převzetí zboží od přepravce je Kupující povinen zkontrolovat neporušenost obalů a v případě jakýchkoliv závad to neprodleně oznámit přepravci i Prodávajícímu.
    IV. Autorská práva
  13. Kupující bere na vědomí, že nabízená umělecká díla podléhají ochraně podle zákona č. 121/2000 Sb., o právu autorském (autorský zákon).
  14. Nabytím vlastnického práva k uměleckému dílu nevzniká Kupujícímu právo k užití autorského díla komerčním způsobem, jeho rozmnožování, šíření či jiné formě majetkového vytěžování bez výslovného písemného souhlasu autora nebo nositele autorských práv.
    V. Práva z vadného plnění a reklamační řád
  15. Práva a povinnosti smluvních stran ohledně práv z vadného plnění se řídí příslušnými obecně závaznými právními předpisy (zejména § 1914 až 1925, § 2099 až 2117 a § 2161 až 2174b občanského zákoníku a zákonem č. 634/1992 Sb., o ochraně spotřebitele).
  16. Prodávající odpovídá Kupujícímu, že zboží při převzetí nemá vady a má vlastnosti, které si strany ujednaly nebo které se s ohledem na povahu zboží očekávají.
  17. Reklamaci uplatňuje Kupující u Prodávajícího na e-mailové adrese trafogallery@trafogallery.cz nebo na adrese sídla či galerie.
    VI. Závěrečná ustanovení
  18. Veškeré právní vztahy vznikající na základě nebo v souvislosti s užíváním e-shopu se řídí právním řádem České republiky.
  19. V případě, že dojde mezi Prodávajícím a Kupujícím – spotřebitelem ke vzniku spotřebitelského sporu, který se nepodaří vyřešit vzájemnou dohodou, má spotřebitel právo na mimosoudní řešení sporu. Subjektem mimosoudního řešení je: Česká obchodní inspekce, Ústřední inspektorát – oddělení ADR, Štěpánská 44, 110 00 Praha 1, web: www.coi.cz.
  20. Tyto všeobecné obchodní podmínky nabývají účinnosti dnem jejich zveřejnění na webových stránkách Prodávajícího.

GENERAL TERMS AND CONDITIONS

I. General Provisions and Definitions

  1. These General Terms and Conditions (hereinafter referred to as "GTC") of the company Trafo Gallery s.r.o., ID No. (IČO): 05937949, with its registered office at Nad Zemankou 894/3, 147 00 Prague 4, registered in the Commercial Register maintained by the Municipal Court in Prague, Section C, Insert 273294 (hereinafter referred to as the "Seller"), govern the mutual rights and obligations of the contracting parties arising on the basis of a purchase agreement (hereinafter referred to as the "Purchase Agreement") concluded between the Seller and another natural or legal person (hereinafter referred to as the "Buyer") through the Seller's online shop. The online shop is operated at the web address www.showroom.trafogallery.cz.
  2. "Buyer" means a Buyer – Consumer or a Buyer – Entrepreneur.
    o Buyer – Consumer means any individual who, outside the scope of their business activity or outside the independent exercise of their profession, enters into an agreement with the Seller or otherwise deals with them.
    o Buyer – Entrepreneur means a person who independently carries out a gainful activity on their own account and responsibility in a trade-like or similar manner with the intention of doing so systematically for the purpose of making a profit.
  3. The subject of purchase consists of original artworks, graphic prints, art objects, and other products offered in the Seller's e-shop.
  4. Provisions deviating from these GTC may be agreed upon in the Purchase Agreement. Deviating provisions in the Purchase Agreement take precedence over the provisions of the GTC.
  5. Both the GTC and the Purchase Agreement are executed in the Czech language.
    II. Conclusion of the Purchase Agreement
  6. All presentations of goods placed on the e-shop interface are of an informative nature and the Seller is not obliged to enter into a Purchase Agreement regarding these goods.
  7. The Buyer places an order via the web form at www.showroom.trafogallery.cz. Before sending the order, the Buyer has the opportunity to check and modify the entered data.
  8. The order sent by the Buyer is considered a proposal for a Purchase Agreement. The Purchase Agreement is concluded upon receipt of the order confirmation sent by the Seller to the e-mail address specified by the Buyer in the order.
    III. Prices, Payment Methods, and Delivery
  9. Product prices are inclusive of all statutory fees and taxes.
  10. Payment options:
    o Non-cash wire transfer based on a proforma invoice issued by the Seller.
  11. Method of delivery and handover of the artwork: Given the nature and value of original artworks, delivery is arranged as follows:
    o Personal Collection (FREE): Personal pickup is possible upon prior agreement at the registered office / exhibition space of Trafo Gallery at: Hall 14, Holešovice Market (Holešovická tržnice), Bubenské nábřeží 306/13, 170 00 Prague 7.
    o Free Delivery within Prague: For larger or more valuable artworks, the Seller arranges free delivery upon agreement to an address within the territory of the capital city of Prague.
    o Individual Transport outside Prague: Delivery outside the territory of Prague and abroad is handled individually based on an agreement between the Seller and the Buyer. The price and method of transport will be agreed prior to dispatching or delivering the artwork.
  12. Upon taking delivery of the goods from the carrier, the Buyer is obliged to check the integrity of the packaging and, in case of any defects, notify the carrier and the Seller without undue delay.
    IV. Copyright
  13. The Buyer acknowledges that the offered artworks and publications are protected under Act No. 121/2000 Coll., on Copyright and Rights Related to Copyright (Copyright Act).
  14. The acquisition of ownership rights to an artwork does not grant the Buyer the right to use the artwork for commercial purposes, reproduce it, distribute it, or exploit it economically in any other form without the explicit written consent of the author or copyright holder.
    V. Rights from Defective Performance and Complaints Procedure
  15. The rights and obligations of the contracting parties regarding rights arising from defective performance are governed by relevant generally binding legal regulations (in particular Sections 1914 to 1925, Sections 2099 to 2117, and Sections 2161 to 2174b of the Civil Code, and Act No. 634/1992 Coll., on Consumer Protection).
  16. The Seller is liable to the Buyer that the goods are free from defects upon receipt and have the characteristics agreed upon by the parties or expected with regard to the nature of the goods.
  17. Complaints shall be filed by the Buyer with the Seller at the e-mail address trafogallery@trafogallery.cz or at the address of the registered office or gallery.
    VI. Final Provisions
  18. All legal relations arising on the basis of or in connection with the use of the e-shop are governed by the legal order of the Czech Republic.
  19. In the event that a consumer dispute arises between the Seller and the Buyer – Consumer that cannot be resolved by mutual agreement, the consumer has the right to an out-of-court dispute settlement. The entity responsible for out-of-court dispute resolution is: Czech Trade Inspection Authority (Česká obchodní inspekce), Central Inspectorate – ADR Department, Štěpánská 44, 110 00 Prague 1, website: www.coi.cz.
  20. These General Terms and Conditions take effect on the date of their publication on the Seller's website.
